Enterprise Services To accommodate the rapid expansion of the several Free Zones established in the UAE and, for practical purposes, provide exemption to companies or joint ventures established in specific areas, the provisions of Article (2) of Federal Law Company Law No. (8) of 1984 which provides for the scope of application of the law were replaced by the new provisions in Federal Law No. (15) of 1998.

The new amended Article (2) of this law retains the concept provided in the previous Article (2) providing that the provisions of the Company Law shall apply to commercial companies incorporated in the State or that establish their main centre of activity therein, and to all companies which establish their domicile therein.

Civil Company

Professional Firms

 

In setting up a professional firm, 100% foreign ownership, sole proprietorships or civil companies are permitted. Such firms may engage in professional or artisan activities. A UAE national must be appointed as local service agent, but he has no direct involvement in the business and is paid a lump sum and/or percentage of profits or turnover. The role of the local service agent is to assist in obtaining licences, visas, labour cards, etc.

Company Law

The new amended Article (2) of this law retains the concept provided in the previous Article (2) providing that the provisions of the Company Law shall apply to commercial companies incorporated in the State or that establish their main centre of activity therein, and to all companies which establish their domicile therein.

However, the amended Article (2) excludes companies incorporated in Free Zones in the UAE from it’s provisions. Regulations provided by the concerned free zones shall apply to these companies except when they are considered as UAE companies.

Except when companies are considered to be UAE companies, the new Article (2) provides a further exemption stating that the provisions of the Company Law shall not apply to oil companies operating in the different fields of oil and gas industry, as well as companies operating in various aspects of electricity, gas, water purification. The Council of Ministers is also authorised in accordance with the new provisions to issue decisions to provide companies with such exemption from the provisions of the Company Law or to provide for this exemption in special provisions in companies Memoranda and Articles of Association.
Work Permit in UAE
The relationship between employers and employees is governed by Federal Act Number 8 of 1980 and its amendments. The Act is applicable to all employment relationships when engaging an employee, whether a UAE citizen or a foreigner. It is not applicable in the case of employment by a government authority.

The approval of the Ministry of Labor is a prerequisite for the employment of foreigners. The Ministry encourages the employment of nationals in the private sector. However, an employer will be given permission to employ resident foreigners who may be transferring from previous employers or to employ newly arriving employees. A work permit is issued by the Ministry for three years, subject to renewal for similar periods. Employment contracts may be for a limited period specified in the contract or for an unlimited period, in which case the employee will continue working with his employer until the contract is terminated.


Working hours

Working hours are eight hours a day or 48 hours a week. However, for persons or employees in trade, hotels, and restaurants, the daily working hours may be increased to nine hours. For overtime work, the employee is entitled to an amount equivalent to the wage paid for ordinary working hours, plus 25 per cent. Overtime may not exceed two hours per day unless necessary. An employee is entitled to an annual leave of 30 days, and maternity leave and sick leave are not part of the annual leave.

Act Number 8 stipulates certain provisions for the employee’s health and safety and for workmen’s compensation against work accident. The employment contract may be terminated by mutual consent of the parties or on expiry of its duration. Any dispute arising between the employer and the employee will be resolved by the Ministry of Labor, which must make a recommendation within two weeks from the date the application for a dispute settlement is filed. If the parties fail to settle the dispute as recommended by the Ministry, the matter should be referred to the courts. The time limit for a lawsuit relating to an employment contract is one year from the date on which the amount claimed or entitlements become due. Employees are exempted from court fees before the court of first instance and court of appeal.

Q: I have been working with a company in Dubai for more than six months on a limited contract. Now, I want to avail power of attorney of my mother’s company in Sharjah.
Since it’s a family business, my mother wants me to take care of some parts of the business and for that she is willing to give me power of attorney to legally run her business. Is it legal to work for my mother’s company under a power of attorney approved by the Sharjah Court though I am working for another employer?

A: According to Article 67 in the third chapter of the federal law number 6 for the year 1973, a sponsored person is under a duty to not work except for his sponsor. Similarly, the sponsor is under a duty not to employ who is not sponsored by him. Hence, if your mother’s entity is not sponsoring you, you cannot take a role in it and this will be considered as a breach of the law.

Breaching any of these obligations and working in an entity where you are not sponsored put all the parties in a risk of being prosecuted and hence, subject to a minimum fine each or imprisonment and the same amount of fine (KT).

Work Permit for Relative Sponsored

Companies can apply for Work Permit for the ladies who are under the sponsorship of their husband/father. She can continue her visa under the sponsorship of husband/father.

Validity of Work Permit: Two years

Steps to follow

• Type the application from Tas'heel Centre, get seal and signature of the sponsor and employee.
• Submit the signed application at Tas'heel Centre (submission charge to be paid).

• Track the application through online (www.mol.gov.ae) and pay labour card fee on
approval as per the company category.

Bank Guarantee is not required for relative sponsored employees.
Work Permit (labour card) and Labour Contract will come through company post box.
Work Permit is valid for 2 years and to be submitted new application at the time of expiry, if required.

 

Cancellation

Type the labour card cancellation form from Tas'heel Centre and get seal and signature of the sponsor and employee. Submit the application at Ministry of Labour in Qusais to complete cancellation formalities.

NOTE: Husband under the sponsorship of his wife is not eligible to apply for work permit. He must change his visa to the concerned company's sponsorship.

BAN: Six month ban is applicable for relative sponsored lady also if she fails to complete two years with the employer. Click here for the conditions to apply Work Permit during the ban period.

Contracting License Renew
To renew Contracting/Maintenance related licenses, the following procedures to be completed at Dubai Municipality through online.


• Type License renewal form (BR/1) of Economic Department (DED) and submit at the counter to get Transaction number. DED Main Office: Deira, near Etisalat, opposite to Dubai Chamber.

• Fill online application of Dubai Municipality. The following documents are required:

• Copy of Trade License

• RTA statement stating the details of vehicles. To get vehicle list from RTA, a request letter in Arabic should be prepared in company letterhead with seal and signature. Fee: Dh60. Go to any RTA Customer Care Centre office to get Vehicle List.

• Tenancy contract of office and Labour Camp with EJARI registration Certificate.

• Labour Camp report issued from Ministry of Labour (If camp is outside UAE).

• Employee List printed from Labour website.

• Company comprehensive report from Ministry of Labour (This report can be collected from any branch of the Ministry of Labour).

• Approved Engineer's Passport copy with visa page, attested Educational certificate, one photograph and copy of Society of Engineers membership. If the membership is not issued, a confirmation letter in Arabic stating that your company will arrange the membership for the engineering within three months.

• Engineer's pass certificate from Dubai Municipality or date of pass.

• If the requirements are fulfilled, online application will be approved within 2 working days. Municipality will charge Dh250 for each Engineer/Technical Staff. This amount can be paid online. Approval will be displayed on DM website and will send the information electronically to Economic Department. Approval print has to be attached with DED application form and proceed for license renewal process.

Following documents are required for Trade License renewal at DED

NOTE: Three options are available for Trade License renewal

Option 1: Take the above mentioned documents to Tas'heel Centre at Al Tawar Centre in Al Qusais. Note that there are two Tas'heel Centres in Al Tawar Centre. For license renewal, you should go to the first floor, where Tas'heel Centre (Office 18) can be found next to Economic Department. Go to the Reception Hub and pay Dh50 as service charge. When your token number displays, go to the counter and hand over the documents. After scanning your tenancy contract, they will issue payment voucher. You can make payment at the Cashier and get the license. If you want to add Post Box number or telephone number in the license, Dh40 to be paid extra.

• Trade Name reservation and Initial approval for new license service also available in this centre.

Option 2: Deposit all the above mentioned documents in the Yellow Box found in front of the Department of Economic Development (next to Bus waiting shelter), Deira main office, near Etisalat. Payment voucher can be printed from DED website after three working days by entering the license number. You can pay online using Credit Card or through Direct Debit bank account (CBD, ABIB, DB).

Option 3: Create a new user account in DED Website for your company. After submitting required information, you will get username and password. Print the authorization form which is found bottom of the page, fill the information, put seal and signature and submit at the DED Dubai Mall branch or Business Village branch near Clock Tower. Attach Trade License copy, Partners list and your passport copy. You should be a partner/manager to get authorization. After activation, you can enter DED site and manage your license transactions including renewal. For renewal, you will have to enter necessary information, scan the Tenancy Contract and EJARI Registration Certificate. After three working days payment voucher can be printed from DED website. You can pay at DED branches or online using Credit Card or through Direct Debit bank account (CBD, ABIB, DB).
Import Export License
All trade licenses can be registered with Dubai Customs to apply for Import/export code. The following steps to be followed:

STEP 1

www.dubaitrade.ae, enter to Dubai Customs page and click on Importer/ exporter menu. Fill the Application for importer code form and submit it electronically with

the following documents:

• Trade License Copy

• Passport copy of partners

• Mobile number and e-mail address of each partner.

• Fee to be paid as Importer/Exporter Code Fee at Customs.

Submit Trade License Copy, passport copies of partners and the application form duly signed and stamped by the authorized person of the company, at Customs for approval.


STEP 2

Log onto www.dubaitrade.ae, click on REGISTER NOW button and fill the form accordingly. A mail will be received upon submission of the filled form. Take the print out and submit along with Authorization Letter, Trade License copy and ID Card copy of the company representative, at the Customs.

What are the procedures required in Economic Department to change our trade license address in Dubai?

STEPS TO FOLLOW

1. Make ready your new Tenancy Contract and register it through EJARI online system.

2.Take the following Documents to Economic Department (DED):

• Typed and signed DED form (BR/1) for location change (can be typed from Typing
Centre)

• Tenancy Contract and EJARI Registration Certificate

• Existing Trade License copy

• Owner's Passport copy


3. First, take the token from reception for Planning Department. After verification they will write their approval on backside of the DED form


• Go to the Reception again and take token for DED submission

• DED Officer will change the license information in their system

• Go to the Reception again and take token for Revenue Department

• Revenue officer will issue the payment voucher

• Take another token for Cashier and pay the amount and get the license

Sole Establishment

It is an establishment owned by a sole proprietor to operate an economic activity (commercial, professional, industrial, agricultural or real property).

Professional Firms

For professional firm 100% foreign ownership is permitted. Such firms may engage in professional or artisan activities. A UAE national must be appointed as local service agent. But he has no direct involvement in the business and is paid a lump sum service charge. The role of the local service agent is to assist in obtaining license, visas, labour cards, etc. All services related activities include in professional firms. A Local Service Agent Agreement to be prepared and attested from the court. Partnership also permitted in Professional Firms. One or more foreigners/UAE national can be partners. In such case a Business Partnership Agreement also to be prepared and attested from the court.

Documents required to Set-up a Sole Establishment / Professional Firm

· Typed registration and licensing application form.

· List of trade names.

· Photocopy of applicant's passport & naturalization book.

· NOC from the sponsor for Manager (if any)

Resume of the applicant, for a professional business which requires certain work experience and academic qualifications, such as licenses for all kinds of consultancies.

Tenancy Contract (to be approved by Planning Section of Dubai Municipality and Civil Defence, and these counters are available at DED First Floor. It is suggested to contact Planning Dept. of Dubai Municipality, at the Department of Economic Development, on Telephone No. 04-2020105, or the Municipality’s Telephone No. 04-2063788, before leasing the premises in order to ensure that it is suitable for the business).

TRADE NAMES

Conditions for Selecting & Approval of Trade Names
The following trade names may be given to local companies against payment of certain annual fees.

1. Names that indicate the firm's coverage of activities. (e.g. National, Gulf, International, Global, Asian, or Regional). On condition that the word indicates the firm's activity and not a distinguishing word for it.

2. Foreign name for a firm using the trade name or trade mark of an international company On condition that the firm's owner has a written approval from the foreign company for using its name or trade mark.

3. Foreign name for an ordinary firm . When writing the trade name in Arabic words as pronounced in English.

4. A name including abbreviations either in Arabic or English (e.g. A C)

5. A name including either of these words: UAE, Emirates, Dubai, Gulf.

6. A name including numbers. Ex. 2000 Grocery

7. A name including Arabized words i.e has a corresponding Arabic or foreign word (e.g Platinum)
